These Terms and Conditions ("Terms") govern your use of the NW Supplies website (https://nw-supplies.org.uk) and outline the terms applicable to our business. By accessing or using our website or engaging with our business, you agree to be bound by these Terms.

NW Supplies operates on a business-to-business (B2B) basis. We supply merchandise goods and related services exclusively to businesses, institutions, and organisations. All orders and contractual agreements are handled directly through our sales representatives and not through the website.

The NW Supplies website is intended for informational and communication purposes only. By using the website, you agree:

5. Orders, Quotations & Acceptance
All quotations issued by NW Supplies are valid for a period of 30 days unless otherwise stated. A legal binding contract is only formed when we provide written acceptance of your order, whether by confirmation email, invoice, or other formal written method.
We reserve the right to decline any order at our discretion, including but not limited to cases of stock unavailability, pricing errors, or concerns about the buyer’s ability to pay.
6. Pricing, Payment & Currency Fluctuations
Pricing is provided on a per-client or per-order basis and may vary depending on volume, delivery requirements, and service level agreements. All prices are exclusive of VAT unless stated otherwise.
Prices are based on current market conditions. NW Supplies reserves the right to amend quotations if affected by material changes in supplier costs, shipping fees, currency fluctuations, or unexpected surcharges. Any such changes will be communicated in writing and require confirmation before fulfilment proceeds.
Payment terms are agreed in writing with the client and are subject to our standard invoicing and credit control procedures. Payment must be made in full by the agreed due date.
NW Supplies reserves the right to suspend services or deliveries until outstanding invoices are paid by the Client.
7. Client Obligations
Clients must:

Provide complete and accurate order specifications, including artwork, product choices, date required, and event information.

Supply any required data (e.g. text, colours, logos, etc.) within stated deadlines.

Carefully inspect all elements of the artwork provided, including but not limited to spellings, text, data, colours, logos, and placement. Once the client has signed off artwork NW Supplies will not be liable for any errors in production.

Approve proofs, drafts, or samples within the timeframes requested.
Failure to provide such information may result in delays or additional charges, for which NW Supplies is not responsible.
8. Changes to Goods or Services
NW Supplies may make minor changes to products or services to comply with legal requirements or to improve functionality. Such changes will not adversely affect the value or purpose of the goods or services supplied.
In the case of any material change, we will inform the client and agree on how to proceed.
9. Samples and Previews
Any pre-production samples, digital previews, or mock-ups are for illustrative purposes only and may not exactly represent the final delivered goods due to variations in print, colour, or material. Minor differences shall not constitute grounds for rejection.
10. Delivery and Risk
Delivery times and methods will be confirmed at the time of order. While we will use reasonable efforts to deliver within estimated timelines, we accept no liability for delays caused by third-party carriers, customs, or events beyond our control.
Risk in the goods passes to the buyer upon delivery, unless otherwise agreed in writing.
11. Returns and Refunds for Faulty Goods
If any goods supplied by NW Supplies are found to be faulty, damaged in transit, or not in accordance with the agreed specification, the client must notify NW Supplies in writing within 5 working days of receipt.
Where a defect is reported and verified by NW Supplies, we will, at our discretion:
- Replace the faulty goods;
- Repair the goods (if applicable); or
- Issue a partial or full refund for the affected items.
To be eligible for a return or refund, goods must be unused, in their original condition, and returned with appropriate documentation. NW Supplies may require photographic evidence or the return of faulty goods before processing any remedy.
This policy does not apply to:
- Goods that have been modified, damaged, or misused after delivery;
- Issues arising from client-approved artwork errors;
- Perishable or time-sensitive items past event deadlines.
We do not offer refunds for non-faulty goods due to our B2B supply nature.
12. Termination
Either party may terminate the agreement immediately in the event of:

A material breach of these Terms;

Non-payment by the client;

Failure to provide required information in a timely manner;

Insolvency or liquidation of the other party.
Upon termination, NW Supplies will invoice the client for any work completed or costs incurred up to the termination date. Any prepaid sums for unfulfilled services or goods will be refunded at NW Supplies’ discretion, minus applicable charges.
13. Limitation of Liability
To the extent permitted by law, NW Supplies shall not be liable for any indirect, incidental, or consequential loss, including loss of profit, loss of business, data corruption, or reputational damage.
Our liability for direct loss or damage shall be limited to the amount paid by the client for the specific goods or services in question.
We provide goods and services solely to business customers. As such, consumer rights under consumer protection legislation do not apply.
14. Intellectual Property
All content on the NW Supplies website, including but not limited to text, logos, graphics, and images, is the property of NW Supplies or its licensors and is protected under applicable intellectual property laws.
You may not use or reproduce any content from the website without our prior written permission.
Any artwork, designs, visual concepts, mock-ups, drafts, or creative materials provided by NW Supplies during the quotation, proposal, or production process remain the intellectual property of NW Supplies unless explicitly transferred in writing. Such materials are provided solely for the purpose of evaluating or executing a project with NW Supplies and may not be used for reproduction, modification, or production by any third party without our prior written consent.
Unauthorised use of NW Supplies’ designs or artwork with another supplier constitutes a breach of these Terms and may result in legal action to protect our rights. NW Supplies reserves the right to charge a design and licensing fee for any unauthorised reuse of its creative materials, and to pursue legal remedies including injunctions, damages, and recovery of legal costs where appropriate.
Licensing & Design Reuse Fees
If a client wishes to use any artwork, designs, or creative materials provided by NW Supplies outside the scope of the original agreement, including but not limited to production with another supplier, a separate licensing agreement must be arranged in writing.
Standard licensing fees are as follows:

Basic Design Use Fee (static or minor custom designs): from £150 + VAT

Custom or Bespoke Artwork Licensing Fee: from £300 + VAT, subject to complexity

Exclusive Artwork Buyout (full ownership rights): from £750 + VAT
Failure to obtain appropriate licensing or written permission before reusing NW Supplies’ artwork may result in:

A retrospective charge equal to 2× the standard licensing fee; and

Legal action to recover damages, enforce intellectual property rights, and cover legal expenses.
All licensing arrangements must be confirmed in writing and signed by both parties. Licensing does not grant the right to alter, sublicense, or resell the artwork unless explicitly agreed. NW Supplies also reserves the right to audit relevant use or sales of products featuring its designs and to impose additional charges if unauthorised reproduction is discovered.
Retention of Title
Title to goods shall remain with NW Supplies until full payment has been received and cleared. Until such time, the client must keep the goods separate and identifiable as the property of NW Supplies and must not resell, transfer, or use them as security.
15. Confidentiality
Both parties agree to keep confidential all commercial, creative, and technical information shared during the quotation and fulfilment process, including artwork, concepts, pricing, and correspondence, unless required by law or regulatory authority.
16. Force Majeure
NW Supplies shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, fire, flood, storm, earthquake, war, terrorism, strikes, pandemics, supply chain disruptions, or governmental action. In such cases, we will make reasonable efforts to notify clients and resume performance as soon as possible. If force majeure persists beyond 60 days, either party may terminate.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on our website with the updated effective date. Continued use of the website or services after such changes indicates your acceptance of the revised Terms.
